Abtrak Penelitian ini bertujuan untuk menganalisis implementasi Good Corporate Governance dan kebijakan struktur modal terhadap nilai perusahaan dengan kinerja perusahaan sebagai variabel intervening dalam menghadapi MEA. Metode penelitian yang digunakan pada penelitian ini adalah analisis multivariate untuk menganalisis beberapa variabel penelitian secara simultan dengan populasi penelitian seluruh perusahaan yang terdaftar di Bursa Efek Indonesia (BEI) periode 2010-2014 dengan sampel sebanyak 298 perusahaan yang dipilih menggunakan metode purposive sampling. Hipotesis penelitian diuji dengan teknik analisis SEM-PLS yang diolah dengan program WarpPLS 5.0. Hasil penelitian menunjukkan bahwa terdapat pengaruh implementasi Good Corporate Governance dan kebijakan struktur modal terhadap kinerja perusahaan, pengaruh kebijakan struktur modal maupun kinerja perusahaan terhadap nilai perusahaan, serta pengaruh implementasi Good Corporate Governance dan kebijakan struktur modal terhadap nilai perusahaan melalui kinerja perusahaan sebagai variabel intervening.

Abstract  This study aims to analyze the implementation of good corporate governance and capital structure policy towards the corporate value and the company performance as the intervening variables is facing AEC. The research method used in this study is a multivariate analysis to analyze several research variables simultaneously, with all companies listed in Indonesia Stock Exchange in the periode from 2010 to 2014 as the population of the  research, and the samples of 298 companies were selected by using purposive sampling method. The research hypotheses were tested with SEM-PLS analysis technique processed with WarpPLS 5.0 program. The result showed that there was a significant influence of the implementation of good corporate governance and capital structure policy on company performance, an influence of capital structure policy and company performance towards company value, and also an influence of the implementation of good corporate governance and capital structure policy towards the company value through the company performance as the intervening variables.   Keywords:  Good  Corporate  Governance  Implementation,  Capital   Structure  Policy, Company Performance, Company Value
